Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of Convene — the website, web application and related services (together, the “Service”) operated by Convene (“we”, “us” or “our”). By creating an account or using the Service, you agree to these Terms. If you’re using Convene on behalf of an organization, you confirm you have authority to bind that organization to these Terms.
1. Accounts & roles
Convene has two kinds of user accounts:
- Members — subscribe to a plan, own their agenda data, and may add Personal Assistants to help manage it.
- Personal Assistants (PAs) — added by a member to manage that member’s agenda on their behalf. A PA account is created by the member (there is no self-service PA sign-up) and its access can be revoked by the member at any time.
You must provide accurate, current information when registering, keep your login credentials confidential, and notify us promptly of any unauthorized use of your account. Your email address cannot be changed once your account is created — choose one you control.
Member accounts are subject to admin approval before first login. We may suspend or terminate an account that violates these Terms or is used fraudulently.
2. Subscription plans & billing
- Paid plans include a free trial period (shown on the plan at signup). You won’t be charged during the trial.
- Payment is processed either via our payment gateway (card/UPI/netbanking through Razorpay) or, where enabled, by manual UPI transfer verified against a transaction reference you submit — an admin confirms manual payments before your plan activates.
- Once you’ve paid for a plan yourself, changing, renewing or cancelling it may go through a request an admin reviews (to prevent unintended billing changes), or — where instant gateway checkout is available — take effect immediately on successful payment.
- Fees are shown in the currency and billing cycle stated on the plan at the time of purchase and are subject to change for future billing periods with reasonable notice.
- Refunds are handled case-by-case; contact us if you believe you were charged in error. Amounts already consumed (e.g. AI credit already spent) are not refundable.
3. Convene AI (the AI scheduling assistant)
Convene AI is an optional, prepaid, usage-metered add-on that lets you create and manage your agenda using natural language, powered by a third-party large language model. When enabled:
- Each message and each AI-created agenda item draws down your prepaid AI credit balance at the rate shown on your plan/add-on settings.
- What Convene AI drafts for you is created in draft status for your review and requires your approval before reminders are scheduled — you always stay in control of what gets added to your calendar.
- AI-generated content (drafts, summaries, suggestions) may occasionally be inaccurate or incomplete. You’re responsible for reviewing anything the assistant creates or changes before relying on it.
- Unused AI credit does not expire on its own but is tied to your account and is not transferable or refundable except at our discretion.
4. Reminders & notifications
Convene sends reminders and notifications via the channels you choose (in-app, email, WhatsApp and/or SMS) based on your reminder preferences. Delivery depends on third-party networks (e.g. WhatsApp/SMS carriers) and isn’t guaranteed to arrive instantly or at all — Convene is a productivity aid, not a substitute for your own diligence on time-critical matters.
5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload content that is defamatory, obscene, infringing, or that you don’t have the right to share (including outcome photos, videos and report attachments).
- Attempt to gain unauthorized access to another user’s account or data, or to the Service’s infrastructure.
- Use automated means to scrape, overload or abuse the Service or its AI assistant (e.g. to extract the underlying model, or to generate spam).
- Reverse-engineer, resell or white-label the Service without our written permission.
6. Your content
You retain ownership of the agenda data, notes, photos, videos and reports you upload (“Your Content”). You grant Convene a limited license to store, process and display Your Content solely to provide the Service to you (and, where relevant, to a PA you’ve authorized). We don’t claim ownership of Your Content and don’t use it to train third-party models beyond what’s needed to generate a live AI response to your own request.
7. Third-party services
The Service relies on third-party providers — including Razorpay for payments, Twilio for WhatsApp/SMS delivery, and Anthropic for the AI assistant. Your use of features backed by these providers is also subject to their respective terms, and we’re not responsible for outages or issues originating from them. 8. Termination
You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, or if required by law. On termination, your right to use the Service ends immediately; data retention is handled as described in our Privacy Policy.
9. Disclaimer & limitation of liability
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We don’t guarantee the Service will be uninterrupted, error-free, or that reminders will always be delivered on time. To the maximum extent permitted by law, Convene is not liable for indirect, incidental or consequential damages — including missed meetings or appointments — arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or an in-app notice before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in India.
